Terms of Service

Effective Date: March 2026

AI Music Studio is distributed exclusively through the Microsoft Store and is subject to Microsoft's Store Terms and Conditions in addition to these terms.

1. Acceptance of Terms

By purchasing, downloading, installing, or using AI Music Studio ("the Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software.

2. License Grant

Subject to your compliance with these Terms, Gain Publishing grants you a non-exclusive, non-transferable, revocable license to use AI Music Studio for personal or commercial purposes.

Your license includes:

  • Installation on devices you own or control
  • Generation of unlimited music content
  • Commercial use of music you generate
  • Updates during the active support period (see Section 9)

3. Microsoft Store Terms

AI Music Studio is distributed through the Microsoft Store. Your purchase and use of the Software are also governed by:

  • Microsoft Store Terms of Sale
  • Microsoft Services Agreement
  • Microsoft Privacy Statement

In case of conflict between these Terms and Microsoft's terms, Microsoft's terms shall prevail with respect to your purchase transaction and account.

Microsoft Store Refund Policy: Refunds are subject to Microsoft's policies and timeframes, which generally permit refund requests within a limited period after purchase (typically up to 14 days, subject to Microsoft's discretion and terms). For refund eligibility and requests, see our Refund Policy.

4. System Requirements

AI Music Studio requires specific hardware and software to function properly:

  • Windows 11 (64-bit)
  • NVIDIA RTX GPU with 12GB+ VRAM (for local AI generation)
  • 32GB RAM minimum
  • 50GB+ available storage

Important: Systems that do not meet these requirements will only run in cloud services mode, which requires separate paid API subscriptions to third-party services. You are responsible for verifying your system meets these requirements before purchase.

5. Ownership of Generated Content

You retain all rights to music and content you generate using AI Music Studio. The Software uses AI models licensed under MIT and Apache 2.0 licenses, which permit commercial use of generated content without attribution or royalty requirements.

You may:

  • Use generated music commercially in any medium
  • Distribute, sell, or license music you create
  • Modify generated audio files
  • Use generated content without attribution

6. Prohibited Uses

You agree not to:

  • Reverse engineer, decompile, or disassemble the Software
  • Redistribute, resell, or sublicense the Software
  • Remove or modify any proprietary notices
  • Use the Software to create content that violates applicable laws
  • Share your license key or account credentials
  • Use the Software to generate content that infringes third-party intellectual property rights

7. Privacy and Data Collection

AI Music Studio is designed with privacy in mind:

  • Local AI processing - your music and lyrics never leave your computer
  • No telemetry or usage tracking
  • No collection of personal data or generated content
  • Optional cloud features (MusicGPT artwork) require separate third-party API keys

8. Third-Party Services

AI Music Studio may integrate with optional third-party services (ElevenLabs, MusicGPT). Use of these services:

  • Requires separate accounts and API subscriptions
  • Is subject to the third party's own terms and pricing
  • Is entirely optional - the Software functions without them

Gain Publishing is not responsible for third-party service availability, pricing, or terms.

9. Updates and Support

During the active support period, updates are delivered through the Microsoft Store at no additional cost. We reserve the right to modify features, fix bugs, and improve the Software. Support is provided via email at support@aimusicstudio.net on a best-effort basis.

Important: "Free updates" and "lifetime updates" referenced in marketing materials mean updates provided during the active support period. Gain Publishing reserves the right to discontinue active development and support at any time (see Section 10 - End-of-Life Policy).

10. End-of-Life Policy

Gain Publishing reserves the right to discontinue active development, updates, and support for AI Music Studio at any time. In the event of end-of-life:

Notice Period:

  • We will provide reasonable advance notice (minimum 90 days) of end-of-life via the Software's update mechanism and email (if available)
  • The Software will remain available for download from the Microsoft Store for a reasonable transition period
  • New purchases may be disabled at our discretion

Final Update and Backup Tools:

  • Prior to end-of-life, we will provide a final update that includes backup and export functionality
  • This final update will enable users to create portable, standalone backups of the Software and AI models
  • Users are solely responsible for creating and maintaining their own backups using the provided tools

Post-End-of-Life:

  • Your license remains valid for the Software in its final "as-is" state
  • No further updates, bug fixes, or technical support will be provided
  • The Software will continue to function on compatible systems, but compatibility with future operating systems or hardware is not guaranteed
  • Microsoft Store availability may be discontinued at any time after the notice period

User Responsibilities:

  • You are responsible for creating and maintaining backups of the Software using the provided backup tools before end-of-life
  • You are responsible for preserving any working installation of the Software on your systems
  • Gain Publishing is not responsible for any inability to reinstall or use the Software after end-of-life
  • No refunds will be issued based on end-of-life decisions made more than 14 days after your purchase (subject to Microsoft's refund policies)

Important: By purchasing AI Music Studio, you acknowledge and accept that active development and support may be discontinued at any time, and that you are responsible for maintaining working backups of the Software using the tools provided.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAIN PUBLISHING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Compatibility with all hardware configurations
  • Uninterrupted or error-free operation
  • Accuracy or quality of AI-generated content
  • Continued availability or support beyond the active support period

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAIN PUBLISHING SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages arising from hardware incompatibility
  • Content generated by AI models
  • Discontinuation of support or end-of-life decisions
  • Inability to reinstall or use the Software after end-of-life

Our total liability shall not exceed the amount you paid for the Software.

13. Termination

This license is effective until terminated. Your rights terminate automatically if you violate these Terms. Upon termination, you must cease all use and delete all copies of the Software.

We may terminate or suspend your license for violation of these Terms, illegal activity, or abuse of the Software.

14. AI Model Licenses

AI Music Studio incorporates the following AI models:

  • ACE-Step v1.5: MIT License (commercial use permitted)
  • Microsoft Phi-4: MIT License (commercial use permitted)

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Software after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of competent jurisdiction.

AI Music Studio, including but not limited to its software code, user interface design, documentation, graphics, and associated materials, is the intellectual property of Daniel E. Gain and is protected by United States and international copyright laws.

Software Ownership:

  • The Software and all accompanying materials are owned by Daniel E. Gain
  • Your purchase grants you a license to use the Software, not ownership of the Software itself
  • All copyright, trademark, and other proprietary rights remain with Daniel E. Gain

User-Generated Content:

  • Music and content you create using the Software belongs to you (see Section 5)
  • You retain all rights to your generated content
  • Gain Publishing claims no ownership of user-generated music or lyrics

Trademarks:

  • "AI Music Studio" and "Gain Publishing" are trademarks of Daniel E. Gain
  • You may not use these trademarks without prior written permission
  • Third-party trademarks and logos belong to their respective owners

Important: By purchasing AI Music Studio through the Microsoft Store, you agree to both these Terms of Service and Microsoft's applicable terms and policies. You acknowledge that active support may be discontinued at any time, and that you are responsible for maintaining backups of the Software. These terms were last updated in March 2026.
